VENDOR TERMS & SELLER POLICY

These Vendor Terms & Seller Policy (“Vendor Agreement”) govern your relationship as an independent commercial seller (“Vendor”, “you”, “your”) with Wibhoo. By completing the merchant onboarding process, you agree to comply with all provisions contained herein.

1. ONBOARDING AND AUTHENTICITY

To sell on Wibhoo, you must undergo our sustainability screening process. You agree to provide valid corporate registration documents, tax identity certificates (e.g., GSTIN), bank details for payouts, and honest declarations regarding your production pipeline.

  • You represent and warrant that all products listed by you are genuine, safe, properly labelled, and completely free from counterfeit materials.
  • You assume full legal liability for product defects, safety concerns, or regulatory compliance failures associated with your items.

2. INDEMNIFICATION

The Vendor agrees to defend, indemnify, and hold harmless Wibhoo, its directors, employees, and affiliates from and against any claims, losses, liabilities, costs, or damages (including legal fees) arising from:

  • Any breach of product safety laws or manufacturing defects.
  • Infringement of third-party intellectual property rights by the Vendor’s listings.
  • Tax non-compliance or inaccurate representation of materials by the vendor.

3. ACCOUNT SUSPENSION & TERMINATION

Wibhoo reserves the absolute right to suspend, demote, or permanently delete a vendor’s store account without notice if:

  • The vendor drops below our acceptable customer service rating thresholds.
  • The vendor fails to fulfil orders within specified processing time limits repeatedly.
  • The Vendor attempts to divert Wibhoo customers off-platform to execute direct transactions.
  • The vendor is discovered to be misrepresenting their sustainability credentials (greenwashing).

COMMISSION & PAYOUT RULES

1. MARKETPLACE FEES AND COMMISSION STRUCTURE

Wibhoo charges a fixed commission rate per successful transaction based on the product category. The specific commission schedules are agreed upon during onboarding and are calculated as a percentage of the total item retail value (exclusive of taxes and shipping fees). Wibhoo reserves the right to modify commission rates upon giving 30 days’ advance notice to the vendor.

2. SETTLEMENT AND PAYOUT CYCLES

Payouts due to vendors are calculated and executed systematically on a periodic cycle (T+7 days from confirmed customer delivery).

{Vendor Payout} = {Gross Order Amount} – {Marketplace Commission} + {Payment Gateway Fees} + {Applicable Taxes Layouts})

 

Payouts will only be processed for items where the customer’s 48-hour return window has elapsed without dispute or return requests.

4. TAX RESPONSIBILITIES (GST, TCS, AND TDS)

As an e-commerce marketplace operator, Wibhoo is legally mandated to deduct Tax Collected at Source (TCS) and Tax Deducted at Source (TDS) under applicable fiscal regulations before dispersing final funds. Vendors are solely responsible for calculating, filing, and paying their independent direct and indirect goods and services taxes (GST) on transactions executed over the platform.

PRODUCT LISTING & CONTENT RULES

To maintain a clean, professional, and accessible aesthetic across Wibhoo, all vendors must adhere strictly to these content guidelines.

1. PRODUCT DESCRIPTIONS AND DISCLOSURES

  • Every listing must feature accurate, highly descriptive text detailing the exact components, measurements, weight, and materials used in the item.
  • Material ingredients must be fully disclosed; ambiguous terms like “eco-friendly blends” or “natural chemicals” are strictly banned. You must name the precise components (e.g., “100% organic linen coloured with low-impact azo-free dyes”).

2. IMAGERY REQUIREMENTS

  • Product imagery must consist of high-resolution, sharp photos taken against clean, uncluttered, or neutral backgrounds.
  • The use of heavily filtered images, deceptive scaling, or stock photography that does not accurately match the physical item being sold is strictly prohibited.
  • Graphic text or promotional watermarks (e.g., “50% OFF”, “BEST SELLER”) cannot be overlaid directly on primary product images.

3. INVENTORY AND AVAILABILITY MANAGEMENT

Vendors are obligated to update product inventory availability levels on the platform panel in real-time. If a product goes out of stock, it must immediately be marked as such to prevent customers from purchasing unavailable inventory. If a vendor cancels an order due to systemic negligence in inventory tracking, Wibhoo may apply an administrative processing penalty to the vendor’s account.

SUSTAINABILITY VETTING RULES

This Eco-Charter sets Wibhoo apart from conventional e-commerce websites. We have zero tolerance for greenwashing, and adherence to these principles is mandatory for all active doors/vendors.

1. THE CORE PILLARS OF WIBHOO ETHOS

Every product listed on Wibhoo must meet at least two of the following ecological benchmarks:

  • Organic & Chemical-Free: Derived from non-genetically modified crops cultivated completely free from synthetic pesticides, herbicides, or synthetic chemical fertilisers.
  • Cruelty-Free & Vegan: Absolutely zero animal testing is executed at any stage of the production pipeline, and it is entirely free from animal-derived materials.
  • Upcycled / Circular Design: Crafted by creatively repurposing discarded post-industrial or post-consumer waste materials that would otherwise end up in landfills.
  • Zero-Waste / Plastic-Free: Formulated to leave zero trace on disposal, utilising reusable, compostable, or easily recyclable presentation methods.
  • Fair Trade & Local Craftsmanship: Manufactured under strictly ethical conditions, ensuring fair living wages, human working conditions, and minimal transport carbon miles.

2. CERTIFICATION AUDITING AND SUBMISSION

  • Vendors must upload clear scans of any sustainability credentials, agricultural organic verifications, or fair-trade claims made on their product listings (e.g., GOTS, OEKO-TEX, USDA organic, PETA cruelty-free, and FSC certified).
  • Wibhoo reserves the right to conduct unannounced audits of your supply chain, inspect raw ingredient invoices, or request physical material samples for laboratory verification.

3. ZERO-GREENWASHING POLICY

If a vendor uses manipulative, unsubstantiated, or deliberately vague environmental claims to trick buyers (e.g., labelling regular plastics as “eco-plastics” without verified laboratory compostability data), Wibhoo will instantly freeze the vendor’s shop, remove all product listings, and hold any pending payouts as a regulatory indemnity fund.
